Terms of Service

Version 2026-05-13 · Effective 2026-05-13. Replaces all prior versions on acceptance.

Draft pending counsel review. Substantive operational terms are accurate to the platform; a Hungarian lawyer will sign off the final wording before public launch.

1. Parties and agreement

This Agreement is concluded between Chillzone Kft. (trading under the Diflo brand, "Diflo", "we") and the company on whose behalf an account is created ("Customer", "you"). It governs your use of the Diflo dispatch platform, the Diflo mobile driver application, and the related public website (collectively, the "Service"). Acceptance occurs when an authorised representative completes registration and clicks the acceptance checkbox. The Service is offered for business and professional use only. You confirm that you are acting on behalf of a company, sole trader, or other business operator, and not as a consumer acting outside a trade, business, or profession.

2. The Service

Diflo is a multi-tenant SaaS dispatch platform for ground-transportation operators. Capabilities include job intake, driver assignment, live tracking, marketplace listing of jobs to other Diflo customers, settlement and partner workflows, and reporting. Capabilities available to you depend on your subscription tier (see /pricing).

3. Subscription, trial, and billing

3.1 Plans

Four tiers are offered: Solo, Fleet Starter, Fleet Pro, Fleet Business. Each tier has defined limits on vehicles, dispatcher seats, flight watches, job templates, storage, job history, and feature access. Limits and prices are published at /pricing and incorporated by reference. Prices are stated net of VAT.

3.2 Trial

A 30-day wall-clock trial is offered on every plan. A valid payment card is required at signup; we run a non-charging authorisation to confirm the card. No charge is raised during the trial. The trial begins on the date you complete card collection and runs for 30 consecutive calendar days regardless of usage.

3.3 Billing

At trial end we charge the card on file the monthly fee for the selected tier, applicable taxes, and any separately agreed charges. Subsequent charges occur on the same day each month. Invoices are issued electronically; EU business customers with a valid VIES-validated VAT number are invoiced under reverse-charge where applicable.

3.4 Failed payment and hard-lock

If a charge fails, our payment provider (Stripe) retries on its smart-retry schedule for up to 14 days. If the final retry fails, the account is hard-locked immediately. Hard-lock means: dispatch UI becomes read-only, the mobile driver app stops accepting new jobs, and marketplace posting is disabled. Active jobs already in progress at the moment of lock are not interrupted; only new operations are blocked. Access is restored as soon as you attach a working card under Settings -> Subscription -> Recover.

3.5 Cancellation

During trial: cancel any time in settings; cancellation takes effect immediately, the card is detached, and you are not billed. On a paid plan: cancellation takes effect at the end of the then-current billing period. You retain access until that date. No proration refunds are issued for unused time, including when downgrading mid-cycle.

3.6 Tier changes

Upgrades take effect immediately, with the price difference prorated against the remainder of the current billing period. Downgrades take effect at the end of the current period, without refund. The trial clock is unaffected by tier changes during the trial.

3.7 3-D Secure (PSD2)

Card collection and recurring charges go through Stripe and may require Strong Customer Authentication. You may be redirected to your card issuer for verification. Stripe Inc. and Stripe Payments Europe Limited act as processors of card data on our behalf; full Stripe terms apply to the underlying transaction.

3.8 Refunds

Subscription fees are non-refundable except where required by mandatory law, where a charge was made in error, or where we agree otherwise in writing. There are no automatic or self-service refunds for unused time, plan downgrades, marketplace disputes, or customer inactivity. This does not affect your right to cancel future renewal under section 3.5.

4. Quotas and limits

Each tier defines capacity limits. The current matrix:

Reaching the vehicle cap blocks creation of additional vehicles until the tier is upgraded. Storage limits, when reached, block new uploads but never delete existing data.

5. Customer obligations

  • You provide accurate company details, including the VAT number used for VIES validation, and keep them current.
  • You are responsible for the actions of users you add to your account (dispatchers, drivers).
  • You may not use the Service to transmit unlawful content, attempt to circumvent quota enforcement, scrape data not belonging to your company, or interfere with the marketplace.
  • You comply with applicable law, including the GDPR for any personal data you process using the platform.

6. Marketplace

6.1 Role of Diflo

The marketplace is a software venue where customers list, claim, assign, perform, and record transport jobs. Diflo provides platform tools only. Diflo is not a transport operator, subcontractor, broker, payment intermediary, escrow provider, debt collector, or guarantor. When one customer lists a job and another customer claims or performs it, the commercial relationship is formed directly between those customers. Diflo is not a party to that transport, subcontracting, payment, or invoice relationship unless we expressly agree otherwise in writing.

6.2 Payment responsibility

By listing a job on the marketplace, the broadcasting customer acknowledges that a claimed and completed job may create a payment obligation to the performing customer under the job terms agreed between them. The broadcasting customer is solely responsible for settling all valid invoices, fees, taxes, VAT, charges, and payment obligations owed to the performing customer. By claiming or performing a marketplace job, the performing customer agrees to look only to the broadcasting customer for payment. Diflo is not responsible for paying the performing customer, collecting payment from the broadcasting customer, enforcing invoices, resolving invoice disputes, or guaranteeing that any customer will pay another customer. Settlement summaries, dispute notes, invoice tracking, status labels, and related platform records are operational tools only. They do not make Diflo a party to, or responsible for, the underlying subcontract, transport service, payment obligation, invoice, tax treatment, or commercial dispute.

6.3 Marketplace restrictions

We may, at our discretion, restrict, suspend, disable, or remove a customer's marketplace access or other user privileges if we receive credible reports or platform evidence of non-payment, repeated invoice disputes, abuse, fraud, no-shows, misuse of passenger data, or conduct that harms other users or the integrity of the platform.

6.4 Trust gates

Browsing and claiming the marketplace is available to all customers from day one. Posting public listings requires that your VAT number successfully validates against the EU VIES system, or that you have completed at least one successful billing charge - whichever happens first. Listings restricted to existing partners are not gated.

6.5 No-show policy

A guest no-show record documents that the passenger or guest did not appear for a specific job. Drivers or dispatch may add location, time, photo, screenshot, or contact-attempt evidence so the operating company can prove attendance. Guest no-show records are not company trust signals and do not automatically suspend marketplace access. Separate company-fault abuse or non-performance may still be reviewed under this agreement.

6.6 Pricing and PII

Marketplace prices are denominated in your company's configured currency and frozen server-side at the moment of broadcast. Passenger personally identifiable information is masked from the claiming company until the subcontract is accepted.

7. Data accuracy and third-party services

Several capabilities depend on external services: Google Routes, AeroDataBox, Booking.com, VIES, Stripe, Resend, Sentry, and Upstash. The full list is at /legal/subprocessors. We provide these signals as-is and are not liable for delays, losses, or operational decisions based on inaccurate, late, or missing third-party data.

8. Disclaimers and limitation of liability

The Service is provided "as is". To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Our aggregate liability under this Agreement, for all claims combined, is capped at the fees paid by the Customer to Diflo in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, lost profits, lost data, or business-interruption damages. None of these caps limits liability that cannot be limited by Hungarian or EU mandatory law.

9. Confidentiality

Each party will treat the other's non-public information disclosed in connection with the Service as confidential, using at least reasonable care to protect it.

10. Term and termination

This Agreement runs for as long as you maintain an account. Either party may terminate per section 3.5. We may terminate immediately for material breach not cured within 14 days of notice, or immediately for unlawful use, fraud, repeated marketplace abuse, or serious non-payment conduct affecting other customers.

11. Changes

We may update these Terms by publishing a new version under /legal/terms and bumping the version string. On material changes, we will require re-acceptance on next sign-in. Continued use after acceptance constitutes agreement to the new version.

12. Governing law and venue

This Agreement is governed by Hungarian law. Disputes that cannot be resolved by good-faith negotiation are subject to the competent courts having jurisdiction in Budapest, Hungary, unless mandatory law provides otherwise.
